The Polish incumbent, Orange Polska (OPL, previously Telekomunikacja Polska, TP), has a wholesale department that provides regulated wholesale services both to OPL\u2019s retail arm and also to ANOs.<\/p>\n\n\n\n<p>OPL applies the following non-discrimination mechanisms:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>physically separated wholesale department;<\/li>\n\n\n\n<li>separate management, employees and IT systems;<\/li>\n\n\n\n<li>separate remuneration incentives system;<\/li>\n\n\n\n<li>a code of conduct; and<\/li>\n\n\n\n<li>EoO, in combination with a system of KPIs for non-discrimination.<\/li>\n<\/ul>\n\n\n\n<p>From 2007 to 2009, UKE, the Polish regulator, <a href=\"https:\/\/archiwum.uke.gov.pl\/czy-podzial-operatora-jest-potrzebny-2997\">contemplated<\/a> imposing a separation obligation that would establish a new organisational unit to supervise and control the access network of OPL and provide selected wholesale services based on EoI. This separation would have addressed the complaints from ANOs and prevented OPL\u2019s potentially discriminatory practices at wholesale level. In December 2008, UKE <a href=\"https:\/\/archiwum.uke.gov.pl\/separacja-funkcjonalna-tp-3959\">launched<\/a> an administrative proceeding to impose the separation obligation on OPL.<\/p>\n\n\n\n<p>OPL reacted in March 2009 to the administrative proceeding by proposing a voluntary model of separation based on equivalence of access (the <a href=\"https:\/\/archiwum.uke.gov.pl\/files\/?id_plik=5014\">Charter of Equivalence<\/a>), citing this as a better and cheaper alternative to UKE\u2019s proposed separation model. OPL estimated the costs of the implementation of the voluntary model at PLN 110-300m (\u20ac24.5-66.7m), while the separation proposed by UKE would have cost PLN 750m (\u20ac166.7m).<\/p>\n\n\n\n<p>The proposed measures in the Charter of Equivalence included:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>separate management structure for the wholesale division;<\/li>\n\n\n\n<li>separate incentives for the wholesale division;<\/li>\n\n\n\n<li>code of conduct and a system of trainings;<\/li>\n\n\n\n<li>EoO;<\/li>\n\n\n\n<li>chinese walls and IT systems access profiles;<\/li>\n\n\n\n<li>KPIs for non-discrimination between ANOs and OPL\u2019s retail division;<\/li>\n\n\n\n<li>establishing an external oversight body, the Telecommunications Forum; and<\/li>\n\n\n\n<li>establishing an internal oversight body, the Committee of Equivalence.<\/li>\n<\/ul>\n\n\n\n<p>OPL negotiated the Charter with ANOs and the regulator for several months but without a conclusion. Eventually, OPL and UKE set out a four-year investment agreement, related to the deployment of broadband lines, and created a new non-discrimination model on 22 October 2009. These included some of the measures previously proposed in the Charter but did not foresee the establishment of a separate supervisory committee.<\/p>\n\n\n\n<p class=\"has-medium-font-size\" style=\"margin-top:var(--wp--preset--spacing--50);font-style:normal;font-weight:700\">Organisational and governance structure<\/p>\n\n\n\n<p>OPL\u2019s wholesale department is headed by the Executive Director in charge of the Carriers Market. It is located separately from the company\u2019s headquarters, in another city.<\/p>\n\n\n\n<p>The Executive Director in charge of the Carriers Market holds an independent position within OPL\u2019s Management Board, reporting directly to the President of the Management Board (see page 124 of OPL\u2019s <a href=\"http:\/\/orange-ir.pl\/sites\/default\/files\/2019\/ORANGE_RAPORT_2018_EN_website.pdf.pdf\">report 2018<\/a> for details of the executive structure as of 1 January 2019).<\/p>\n\n\n\n<p>The current wholesale structure resulted from the expired investment agreement, which introduced the following measures in 2009:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>creation of a separate wholesale division with independent objectives, management and employee incentives;<\/li>\n\n\n\n<li>appointment of the wholesale division\u2019s vice-president as a member of OPL\u2019s board of directors responsible for following the proper implementation of the new non-discrimination model;<\/li>\n\n\n\n<li>introduction of a set of KPIs to be published monthly and audited by an independent auditor;<\/li>\n\n\n\n<li>restricting access for OPL\u2019s retail division to the IT systems used by OPL\u2019s wholesale division; and<\/li>\n\n\n\n<li>creation of a code of conduct for all TP\u2019s wholesale employees to ensure appropriate non-discriminatory behaviour.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-medium-font-size\" style=\"margin-top:var(--wp--preset--spacing--50);font-style:normal;font-weight:700\">Elements of equivalence and non-discrimination<\/p>\n\n\n\n<p>OPL\u2019s voluntary undertakings, based on EoO, were first adopted with the agreement with UKE in October 2009, and implemented by UKE\u2019s regulatory <a href=\"https:\/\/www.cullen-international.com\/product\/applications\/MarketAnalysis\/ManCEE-PL_ref.htm#m3a2014\">decision<\/a> of 30 December 2010 for market 4 and the <a href=\"http:\/\/www.cullen-international.com\/product\/binarydocs\/8346\">decision<\/a> of 28 April 2011 for market 5.<\/p>\n\n\n\n<p>Following the next round of market analyses for the wholesale markets 3a and 3b, UKE <a href=\"https:\/\/bip.uke.gov.pl\/decyzje\/decyzje-smp\/regulacje-dotyczace-rynku-3a-i-3b-dla-orange-polska%2C3.html\">decided<\/a> to impose non-discrimination obligations based again on EoO and not on EoI.<\/p>\n\n\n\n<p>Before selecting EoO, UKE assessed the proportionality of the implementation of the EoI model. UKE thought that the costs to implement EoI were not justified, considering the competition problems in the market.<\/p>\n\n\n\n<p style=\"font-style:italic;font-weight:400\">Costs for introducing EoI only for FTTH services<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Cost category<\/th><th>Estimated costs (in \u20ac millions)<\/th><\/tr><\/thead><tbody><tr><td>Administrative costs<\/td><td>0.2-0.7<\/td><\/tr><tr><td>Costs of implementing the support function<\/td><td>0.2-0.3<\/td><\/tr><tr><td>Costs of internal IT systems<\/td><td>13.3-17.8<\/td><\/tr><tr><td>Costs of employee transfer<\/td><td>0.7-1.6<\/td><\/tr><tr><td><em>Total<\/em><\/td><td><em>10-20.3<\/em><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>In UKE\u2019s opinion, the costs (somewhere between \u20ac10m and \u20ac20m) would place a disproportionate burden on OPL. UKE believed that regulatory concerns arising from possible discriminatory behaviour could be effectively addressed by applying the EoO model in combination with the KPIs for non-discrimination.<\/p>\n\n\n\n<p>UKE also analysed OPL\u2019s KPI results to test whether there were any signs of discrimination in the treatment by OPL\u2019s wholesale division for ANOs compared with OPL\u2019s own retail division. The test results were generally positive, showing little evidence of discriminatory behaviour in the provision of wholesale services.<\/p>\n\n\n\n<p>UKE therefore concluded that the introduction of EoI was not justified and would be disproportionate in view of the additional costs to OPL.<\/p>\n\n\n\n<p>The KPIs to measure non-discrimination, introduced by the October 2009 agreement, have been one of the key tools for monitoring compliance with the non-discrimination obligation imposed on the incumbent. A <a href=\"https:\/\/archiwum.uke.gov.pl\/files\/?id_plik=14995\">new KPI system<\/a>, updated in light of market developments, was implemented in December 2011. KPIs are reported <a href=\"http:\/\/www.hurt-orange.pl\/operatorzy-krajowi\/raporty\/\">monthly<\/a> for the market and quarterly for UKE (see the <a href=\"https:\/\/bip.uke.gov.pl\/raporty\/prezes-uke-przedstawia-analize-wykonania-wskaznikow-kpi-przez-orange-polska-s-a-opl-za-drugi-kwartal-2019-r-%2C31.html\">Q2 2019<\/a> results).<\/p>\n\n\n\n<p>Other tools used by UKE to verify compliance with the non-discrimination obligation include the <a href=\"https:\/\/archiwum.uke.gov.pl\/stanowiska-prezesa-uke-w-sprawie-procesu-time-to-market-oraz-metod-przeprowadzania-testow-msps-12215\">Time-To-Market<\/a> (TTM) procedure, and the margin squeeze and price squeeze tests. The TMM (effectively a technical replication test) applies whenever OPL introduces a retail service based on a regulated wholesale service or a commercial wholesale service. Under the TMM procedure, OPL must provide ANOs 90 days before the launch of OPL\u2019s retail service with all the necessary information to enable ANOs to create a competitive retail offer based on OPL\u2019s wholesale service.<\/p>\n\n\n\n<p>OPL\u2019s wholesale access reference offer (<a href=\"http:\/\/www.hurt-orange.pl\/operatorzy-krajowi\/sor\/\">SOR<\/a>) also currently requires OPL to have separate wholesale and retail departments.<\/p>\n\n\n\n<p>The SOR includes a safeguarding mechanism that gives ANOs the right to conduct inspections and checks on whether OPL\u2019s wholesale department provides regulated wholesale services under the same conditions as those provided for OPL\u2019s equivalent retail services.
